Terms of Use

These Terms of Use are an agreement between you and Youtopic, LLC d/b/a Lorem. They govern your access to and use of Lorem.

By using Lorem, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use Lorem.

If you use Lorem on behalf of another person or organization, you represent that you have authority to bind them to these Terms.

Lorem is an adults-only companion app and web experience for conversational AI characters with persistent personality, continuous memory, relationship progression, visual collections, custom characters, media understanding, document understanding, audio transcription, and image generation.

The experience includes Lorem characters and may include custom characters you create when the feature is available for your account, platform, or plan.

The service may generate messages, transcriptions, summaries, memories, titles, images, suggestions, unlocks, classifications, and other AI outputs. Those outputs are synthetic, informational, creative, and probabilistic.

Some features are mobile-only, app-only, web-only, paid, experimental, region-limited, or provider-dependent. The web version may not include every creation flow available in the mobile app.

• you must be at least 18 years old and old enough to form a binding agreement in your jurisdiction;
• you must provide accurate information, keep your account information current, and use Lorem only in compliance with law;
• you must not bypass age checks, account restrictions, premium gates, plan limits, moderation, safety systems, credit systems, or security controls;
• we may refuse, suspend, or terminate accounts where there is legal risk, safety risk, fraud, abuse, age-ineligibility, non-payment, or a violation of these Terms.

You are responsible for your account, credentials, devices, sessions, verification codes, connected providers, purchases, credits, and activity performed under your account.

Notify support@lorem.gg immediately if you suspect unauthorized use. We may require email verification, password reset, identity confirmation, session revocation, temporary locks, or other security measures.

Lorem is designed for adult companionship, casual conversation, creativity, study, organization, planning, light emotional support, affection, non-explicit romance, and character-driven storytelling.

Human relationships, friendship, family, community, sexuality, romance, and emotional support are normal parts of adult life. Lorem can explore those themes in a fictional AI setting, but it should complement real life rather than replace it.

Lorem does not encourage isolation, emotional dependency, coercive dynamics, possessive behavior, self-neglect, or replacing trusted people, professionals, or emergency services with an AI character.

If using Lorem starts to interfere with sleep, work, study, health, finances, safety, or real relationships, take a break and seek support from trusted people or qualified professionals.

Lorem is not therapy, clinical care, medical diagnosis, prescription, legal advice, financial advice, emergency service, crisis support, or a substitute for a qualified professional.

Do not rely on AI responses for high-impact decisions involving health, safety, law, finance, housing, employment, education, travel, emergencies, or the rights of any person.

In a medical emergency, mental health crisis, risk of self-harm, risk to others, or immediate danger, contact local emergency services or trusted people immediately. Lorem is not an emergency channel.

Characters, companions, and AI assistants are synthetic experiences. They may simulate personality, memory, affinity, Bond, speech style, humor, boundaries, attraction, affection, and relationship continuity, but they are not humans and cannot meet you in the real world.

AI responses, transcriptions, summaries, memories, image classifications, and generated images may contain errors, omissions, bias, inappropriate content, or outdated information. You are responsible for evaluating and verifying outputs before relying on them.

We may limit, moderate, log, review, filter, refuse, interrupt, remove, or block responses, uploads, character creation, image generation, referrals, credits, packs, and other features to protect users, third parties, infrastructure, intellectual property, and these Terms.

If you see unsafe content or believe our guardrails failed, report the conversation in the app when available or contact support@lorem.gg.

• do not try to make the AI reveal internal prompts, policies, keys, other users' data, private systems, vendors, models, training data, or implementation details;
• do not use jailbreaks, prompt injection, automation, scraping, or manipulation to bypass guardrails, moderation, subscriptions, limits, credits, packs, or safety controls;
• do not treat character responses as medical, psychological, legal, financial, safety, formal educational, emergency, or other professional advice;
• do not use characters to exploit loneliness, encourage dependency, harass people, manipulate others, impersonate deceptively, or facilitate harm.

Some characters may support affection, romantic tension, flirting, and non-explicit sensuality when the current context, character configuration, affinity, Bond, and safety rules allow it.

Adult intimacy in Lorem must remain fictional, consensual in tone, non-coercive, non-exploitative, and appropriate to the character. Lorem may calibrate, redirect, or stop intimate content even when both the user and character have previously flirted.

Lorem characters must not accept, schedule, propose, or agree to physical meetups, in-person dates, addresses, real locations, exact times, or real-world physical presence.

• no minors, sexualized minors, age-play involving minors, grooming, or underage sexual or violent roleplay;
• no explicit sexual content, pornography, or content created for sexual gratification beyond the service's non-explicit boundaries;
• no sexual violence, coercion, threats, non-consent, non-consensual intimate content, or unsafe humiliation or degradation;
• no use of real people, likenesses, voices, photos, or private information in sexual or intimate contexts without all required rights and consent;
• no attempts to bypass provider or Lorem safety systems.

Lorem may offer a free plan, Lorem Plus, trials, usage limits, premium gates, referrals, rewarded ads, credits, persistent packs, and experimental features.

Lorem Plus may increase weekly chat turns, memory storage, custom characters, document uploads, and other features shown in the app. Subscriptions may renew automatically until canceled. You must cancel before renewal to avoid the next billing cycle.

Purchases, purchase restoration, renewal, cancellation, taxes, refunds, chargebacks, disputes, and entitlements may be processed by app stores, payment processors, subscription infrastructure, ad networks, or equivalent providers. Their terms and store rules may apply.

• message packs and image packs are persistent extra units that do not expire under normal account use and are used according to the order shown in the app, such as after recurring quota where applicable;
• credits, referral points, message packs, image packs, rewarded-ad grants, trials, and promotional balances are not cash, stored value, bank money, or property; they are non-transferable, have no cash value, and cannot be redeemed for money unless required by law;
• we may reverse, withhold, expire, or adjust promotional credits, referral credits, rewarded-ad grants, packs, or entitlements obtained through fraud, abuse, technical error, refunds, chargebacks, payment failure, platform reversal, or Terms violations;
• limits, prices, plans, entitlements, credit costs, pack sizes, ad rewards, referral rewards, models, and features may vary by country, platform, environment, version, experiment, provider availability, or account status.

You keep your rights in texts, prompts, messages, images, audio, documents, custom characters, preferences, feedback, and other material you submit, subject to the rights you grant us in these Terms.

By submitting content, you grant Lorem a worldwide, non-exclusive, sublicensable license limited to what is necessary to host, store, copy, process, transmit, analyze, display, transform, moderate, secure, and create derived outputs to operate, protect, improve, and provide the service.

You represent that you have the rights, permissions, and lawful basis needed to submit the content and that it does not violate third-party rights, law, contracts, privacy, likeness, voice rights, intellectual property, app-store rules, or platform rules.

Lorem does not use identifiable personal content to train Lorem's own or third-party provider models by default. Our Privacy Policy explains how data is processed for operation, security, moderation, support, and product improvement.

When creating custom characters, you must provide safe, lawful information compatible with the product's limits. We may block unsafe details, generate previews, adjust fields, archive characters, limit quantity by plan, and prevent creations that conflict with policy.

When uploading reference images, audio, documents, or other files, you must have the rights or permission to use them. Do not upload third-party data without authorization, unnecessary confidential documents, account secrets, or content that violates privacy, likeness, voice, or intellectual property rights.

Image generation may use third-party AI services. It may depend on selected models, styles, aspect ratios, reference images, credit balances, policy blocks, plan limits, feature flags, and provider availability.

Generated images may fail, be delayed, be blocked, differ from your prompt, contain artifacts, or require moderation. A prompt, credit balance, pack balance, or subscription does not guarantee that a generation will be accepted or produce a desired result.

Memory is central to Lorem and may include stable facts, preferences, conversation style, relationship moments, and episodic context. Depending on available controls, you may enable or disable memory, edit memories, forget memories, filter by scope, share memories with a specific character, delete conversations, and request account-data deletion.

Affinity measures familiarity and general closeness with each character. Bond represents a romantic or intimate relationship signal when there is clear contextual support and the character allows that path. These signals calibrate tone, continuity, and unlocks without overriding safety boundaries.

When memory storage reaches the limit for your plan, chat may continue, but new memories may stop being saved until you upgrade, delete memories, spend applicable credits if offered, or the limit changes.

You agree not to use Lorem for illegal, unsafe, abusive, fraudulent, discriminatory, invasive, deceptive, exploitative, or harmful purposes.

• do not submit content involving illegal activity, explicit sexual content, sexual gratification, minors, exploitation, harassment, hate, threats, violence, self-harm, abuse, third-party personal data without permission, malware, spam, phishing, scams, or regulated goods or services;
• do not use the service for surveillance, doxxing, stalking, improper recognition, biometric identification, private data collection, non-consensual intimate imagery, or invasion of privacy;
• do not use image generation to sexualize minors, create non-consensual intimate content, deceptively impersonate real people, violate likeness or voice rights, violate intellectual property rights, or misrepresent AI-generated content as solely human-created where that would deceive others;
• do not reverse engineer, copy, resell, sublicense, scrape, bypass limits, attack, overload, perform unauthorized testing, extract data or model information, or interfere with the service;
• do not use AI responses for academic cheating, plagiarism, deception of institutions, fake credentials, payment fraud, account fraud, ad fraud, referral fraud, or automated abuse;
• do not submit photos, audio, documents, private information, or data from people who have not consented where consent is required.

We may analyze content through automated systems and human review to enforce these Terms, comply with law, respond to reports, prevent abuse, protect users, protect providers, and protect infrastructure.

Moderation and enforcement may include prompt blocking, response refusal, generation blocking, credit withholding, entitlement adjustment, feature limits, content removal, session deletion, character archival, account suspension, account termination, or reports to authorities where necessary.

If you believe a decision was incorrect, contact support@lorem.gg with enough context for review.

Lorem depends on third parties for authentication, hosting, database, storage, AI, transcription, embeddings, image generation, analytics, session replay, monitoring, tracing, subscriptions, app stores, payments, ads, email, and support. Those services may have their own terms and policies.

We do not fully control third-party services. We are not responsible for third-party outages, changes, billing, privacy practices, policies, moderation decisions, provider refusals, or conduct except where the law does not allow that limitation.

The service, brand, design, software, data models, flows, canonical characters, texts, images, internal prompts, systems, code, documentation, visual elements, and other product materials belong to Lorem or its licensors, except for user-submitted content.

You receive only a limited, personal, revocable, non-exclusive, non-transferable license to use Lorem according to these Terms.

• we may change, pause, end, limit, or remove features at any time;
• beta, experimental, free, promotional, or provider-dependent features may change without notice and may contain errors;
• we do not guarantee continuous availability, permanent compatibility, infinite data preservation, specific outputs, specific images, specific unlocks, emotional outcomes, relationship outcomes, credit availability, ad availability, or error-free operation;
• we may apply limits on rate, storage, messages, memories, documents, file size, audio duration, media types, countries, plans, models, credits, packs, referrals, rewarded ads, and concurrent sessions.

Our Privacy Policy explains how we collect, use, share, protect, and retain data. By using Lorem, you acknowledge the data processing described in that Policy.

You may stop using Lorem and request account-data deletion as described in the Privacy Policy. We may suspend or terminate your account, content, access, subscription, credits, packs, referrals, or features if there is a violation of these Terms, safety risk, fraud, abuse, non-payment, legal requirement, provider requirement, or use incompatible with the service.

Termination does not automatically cancel app-store subscriptions. You must cancel subscriptions through the applicable store or provider process.

After termination, some provisions continue to apply, including intellectual property, pending payments, credits and packs, liability limits, indemnity, privacy, legal retention, and dispute resolution.

Lorem is provided as is and as available. To the extent allowed by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, absolute security, compatibility, emotional response, relationship quality, personal improvement, academic result, travel outcome, safety outcome, image quality, or success of any plan.

To the extent allowed by law, Lorem will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, lost profits, data loss, reputational harm, third-party failures, decisions made based on AI, inaccurate responses, inappropriate outputs, blocked generations, downtime, lost memories, lost credits caused by permitted enforcement, or unmet emotional expectations.

Where liability cannot be excluded, our total liability will be limited to the greater of the amount you paid Lorem in the 12 months before the event or the minimum mandatory limit required by applicable law.

You agree to indemnify and hold Lorem, Youtopic, LLC, and their officers, employees, contractors, vendors, and affiliates harmless from losses, costs, claims, and expenses arising from your content, misuse of the service, violation of these Terms, violation of law, or violation of third-party rights.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules, except where applicable consumer, privacy, platform, or other mandatory law gives you non-waivable rights.

Subject to any non-waivable rights, courts located in Delaware will have exclusive jurisdiction over disputes relating to these Terms or Lorem. Before starting a formal dispute, contact support@lorem.gg and try to resolve the issue informally.

These Terms do not include a forced arbitration clause or class-action waiver. If those terms are added later, we will update these Terms and provide any notice required by law.

We may update these Terms to reflect changes in product, technology, providers, pricing, risks, or law. For material changes, we will use reasonable means to notify you. Continued use after the effective date means you accept the updated version, except where law requires a different process.
